Recitals:

Whereas, the Assignor is a party to the Contract dated _______________ (“Original Agreement”) with [Original Contract Parties]; and

Whereas, the Assignor desires to assign its rights and obligations under the Original Agreement to the Assignee, and the Assignee agrees to assume such rights and obligations subject to the terms herein.

Assignment:

The Assignor hereby assigns, transfers, and conveys to the Assignee all of its rights, title, and interest in and to the Original Agreement effective as of [Effective Date].

Assumption of Obligations:

The Assignee hereby assumes all obligations of the Assignor under the Original Agreement from the effective date forward, and agrees to be bound by its terms.

Conditions:
