Purpose of Agreement:

The purpose of this agreement is to protect confidential information exchanged between the Parties in relation to potential business collaboration, proprietary data, and trade secrets.

Definition of Confidential Information:

Confidential Information includes any non-public, sensitive, or proprietary information disclosed by the Disclosing Party to the Receiving Party, whether in written, oral, or electronic form, including but not limited to business strategies, financial data, client lists, and technical information.

Obligations of the Receiving Party:

The Receiving Party shall keep all Confidential Information strictly confidential, not disclose it to third parties without prior written consent, and use it solely for the purpose outlined above.
